5. Content and Intellectual Property
5.1 Your Content
You retain ownership of any Content you create and publish to the Registry. By publishing Content, you grant Promptic a non-exclusive, worldwide license to store, serve, display, and distribute your Content through the Registry to authorized users (members of your Organization or, if you publish publicly, all users). This license terminates when you delete the Content from the Registry, except that copies already installed by authorized users prior to deletion may continue to be used under the terms under which they were originally made available.
5.2 Content Responsibilities
You are solely responsible for the Content you publish. You represent and warrant that:
- You have the right to publish the Content
- The Content does not infringe any third-party intellectual property rights
- The Content does not violate any applicable laws
- The Content complies with any applicable open-source licenses
5.3 Content Moderation
Organizations may implement approval workflows for Content published within their scope. Promptic reserves the right to remove Content that violates these Terms.
5.4 Promptic's Intellectual Property
All aspects of the PromptSlide website, brand, and platform (excluding user Content) are owned by Promptic and protected under German copyright law. The PromptSlide framework itself is licensed under the MIT License.
5.5 Third-Party Content
Content installed from the Registry may be subject to its own licensing terms. You are responsible for complying with the licensing terms of any Content you install and use.
5.6 User-Generated Content Disclaimer
Promptic does not pre-screen, verify, endorse, or assume responsibility for any Content uploaded or published by users. Promptic acts as a hosting provider and is not liable for user-generated Content, including but not limited to Content that is unlawful, harmful, offensive, or infringing on third-party rights.
If you become aware of Content on the Registry that you believe is illegal or infringes your rights, you may notify us at hello@promptic.eu with a detailed description of the Content and the basis for your claim. We will review and act on valid notices in accordance with applicable law, including the EU Digital Services Act.
Promptic reserves the right to remove any Content and suspend or terminate the Accounts of users who repeatedly or seriously violate these Terms or applicable law.
6. Organizations
6.1. Organizations allow teams to share a private Registry namespace. The organization administrator is responsible for managing members and their access permissions.
6.2. Content published within an Organization is accessible only to its members, unless explicitly made public.
6.3. If you leave or are removed from an Organization, you may lose access to Content published within that Organization's scope.
7. Service Availability
7.1. We aim to provide reliable Services but do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
7.2. PromptSlide is a local-first framework — your slide decks run locally and do not depend on our servers for presentation delivery. Registry availability affects only publishing and installing Content.
7.3. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
9. Limitations of Liability
9.1. To the extent permitted by applicable law, the Services are provided “as is” and “as available” without voluntary warranties beyond those required by law. This does not affect your statutory warranty rights (gesetzliche Gewährleistungsrechte) under German law.
9.2. To the maximum extent permitted by law, Promptic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities.
9.3. The limitations above do not apply to damages caused by gross negligence or willful misconduct, or to mandatory liability under applicable law (including product liability and personal injury).
9.4. In any case, Promptic's total liability shall not exceed the amount you paid to Promptic in the 12 months preceding the claim, or EUR 100, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless Promptic, its representatives, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your intentional or grossly negligent misuse of the Services, Content you published in violation of these Terms, or your willful violation of these Terms. This indemnification does not apply to the extent that the claim results from Promptic's own negligence or misconduct.
11. Termination
11.1. You may close your Account at any time by contacting us at hello@promptic.eu.
11.2. We may suspend or terminate your Account if you violate these Terms, with notice where practicable.
11.3. Upon termination, your right to use the Services ceases immediately. Content you published will be removed from the Registry within 30 days of account closure. Content already installed by other Organization members prior to termination remains available to them as local copies.
11.4. Sections that by their nature should survive termination (including Intellectual Property, Limitations of Liability, Indemnification, and Governing Law) will survive.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through a notice on the website at least 30 days before the changes take effect. You will be asked to accept the updated Terms upon your next login. If you do not accept the updated Terms, you may close your Account. Continued use of the Services after accepting the updated Terms constitutes your agreement to be bound by them.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Frankfurt am Main, Germany. This does not affect the right of consumers to bring proceedings in the courts of their place of domicile as provided by applicable EU law (Art. 18 Brussels Ia Regulation).
14. Dispute Resolution
The European Commission provides an online dispute resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
In accordance with § 36 of the Verbraucherstreitbeilegungsgesetz (VSBG), we declare that we are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
